Terms of Use

1. Who We Are; Scope

These Terms are between you and Peak Performance Unleashed, LLC d/b/a CoachBridge. The CoachBridge platform provides tools and infrastructure to support coaches and clients.

You may use the Services for your personal, professional, or internal business purposes, subject to this Agreement and any order form or separate written agreement that references these Terms.

2. Eligibility; Accounts

• Age. You must be 18 or older to use the Services.
• Account. You agree to provide accurate information, maintain the security of your credentials, and promptly update any changes. You are responsible for all activity under your account.
• Organization Accounts. If you access CoachBridge through an organization, your administrator may control certain settings and see limited program signals but not your private session content unless you choose to share it.

3. Changes to These Terms; Updates to the Services

We may update these Terms from time to time. When we do, we'll post the new version with a revised "Last Updated" date, and for material changes we'll provide additional notice (e.g., email or in-app). Your continued use of the Services after changes take effect constitutes acceptance.

4. Permitted Use; Prohibited Conduct

Use the Platform only for lawful purposes. You agree not to:

• Violate any applicable law or regulation (including export controls, sanctions, privacy, or anti-spam laws).
• Harass, harm, or attempt to exploit others or post unlawful, defamatory, obscene, hateful, or infringing content.
• Access accounts or data without authorization; probe or test system vulnerabilities; or interfere with security controls.
• Copy, scrape, crawl, or collect data by automated means without our prior written consent.
• Reverse engineer, decompile, or disassemble the Platform except to the extent permitted by law.
• Overload or interfere with the proper functioning of the Platform.
• Misrepresent your identity, impersonate another person, or misstate your affiliation.
• Engage in misconduct, harassment, or exploitation through coach-client interactions on the Platform.
• Create or maintain fraudulent or misleading directory listings.
• Misrepresent your credentials, qualifications, or services on or through the Platform.

We may suspend or terminate access for any breach of these Terms (see Section 16).

5. User Content; Rights You Grant

• Your Ownership. You retain ownership of your User Content (text, files, session notes, reflections, templates, messages, and other materials you upload).
• License to CoachBridge. You grant CoachBridge a worldwide, non-exclusive, royalty-free license to host, reproduce, process, adapt, and display your User Content solely to operate, secure, improve, and provide the Services.
• Community & Pods. If you share User Content with a group or workspace, recipients may view it. Share only what you are comfortable sharing. Information shared with other users may be copied, saved, or redistributed beyond our control.
• Responsibility. You are responsible for your User Content and represent that you have the necessary rights to submit it and that it does not violate law or third-party rights.
• Intellectual Property. Coaches retain intellectual property over their materials, frameworks, and tools. CoachBridge may use anonymized, aggregated insights only as stated in our Privacy Policy.

6. Professional Relationships; Platform Positioning

Any coaching engagement you enter is solely between you and the other user. CoachBridge is not a party to agreements between users and is not responsible for services coaches or clients may provide or receive.

No Endorsement; No Agency.

• CoachBridge does not endorse, recommend, or guarantee any coach listed on our directory.
• Coaches are independent professionals, and not employees, agents, or representatives of CoachBridge.
• Listings are informational only.
• CoachBridge does not supervise, control, or direct coaching services.

Financial Responsibility.

• CoachBridge is not responsible for payments, disputes, refunds, or service quality of or between coaches and clients.
• Any financial arrangement is solely between users of CoachBridge.

Background Checks.

• CoachBridge does not conduct background checks on users or coaches.

Professional Scope & Boundaries.

• Coaching is not therapy or medical care. The Services are not a substitute for professional medical, psychological, legal, financial, or other licensed advice.
• Coaches are responsible for working within their professional scope and redirecting clients when appropriate.
• Users should seek licensed professionals for mental health, medical, or crisis-related matters.
• CoachBridge is not monitoring the suitability of coach-client matches.

7. Directory & Listings

CoachBridge may offer a coach directory allowing users to discover and engage independent coaching professionals. The following terms govern all directory listings:

• Profiles may include self-reported credentials, experience, and qualifications. CoachBridge does not guarantee accuracy unless explicitly stated.
• CoachBridge does not independently verify credentials unless explicitly labeled as "Verified."
• CoachBridge does not guarantee response, outcomes, or compatibility between coaches and clients.
• CoachBridge reserves the right to suspend and/or remove coaches or listings at our discretion.
• Users are solely responsible for selecting and engaging coaches. Users should conduct their own due diligence before entering any coaching engagement.
• Coaching outcomes vary and involve subjective judgment.

8. Code of Conduct

This Code of Conduct applies to all users of CoachBridge, including coaches and clients.

CoachBridge prohibits:

• Harassment or intimidation of any user.
• Exploitation or manipulation of clients or coaches.
• Misrepresentation of services, credentials, or qualifications.
• Any conduct that violates applicable law or these Terms.

CoachBridge may:

• Investigate complaints brought to our attention.
• Suspend or remove users who violate this Code of Conduct or these Terms.

9. Payments, Plans, and Renewals

• Fees & Billing. Fees are stated in USD and payable through our payment processor. By submitting payment details, you authorize us to charge applicable fees and taxes.
• Auto-Renewal. Subscriptions auto-renew at the then-current rate unless canceled before the renewal date.
• Refunds. Fees are non-refundable except where required by law or expressly stated otherwise.
• Changes. We may modify fees prospectively with advance notice.
• Taxes. You are responsible for applicable taxes, duties, or levies.

10. Confidentiality

We will use non-public, reasonably confidential information you provide only to operate and deliver the Services, and will not disclose it to third parties except (i) to service providers bound by confidentiality obligations, (ii) as required by law, or (iii) with your consent.

11. Intellectual Property; Limited License

The Services, Platform, software, documentation, and all other materials we provide (excluding your User Content) are owned by CoachBridge or our licensors.

Subject to your compliance with this Agreement, CoachBridge grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal or internal business purposes. You may not copy, distribute, modify, or create derivative works from the Services except as expressly permitted.

"CoachBridge" and associated marks and logos are trademarks of CoachBridge. You may not use them without our written permission.

12. Copyright Complaints (DMCA)

If you believe content on the Platform infringes your copyright, please send a notice to copyright@coachbridge.net including your contact details, a description of the copyrighted work, the URL of the infringing material, a good-faith belief statement, and your signature.

13. AI-Assisted Features; Outputs and Use

• No Advertising Use. We do not use User Content for advertising.
• Quality & Limitations. AI outputs may contain errors or omissions and may not be unique. Evaluate outputs carefully before relying on them. You are responsible for how you use AI-generated content.
• Controls. You may disable certain AI features or opt out of AI-related analytics where provided.

14. Third-Party Services & Links

The Services may integrate with or link to third-party products. Your use of Third-Party Services is subject to their terms and privacy policies. We are not responsible for Third-Party Services.

15. Beta, Trial, and Pre-Release Features

Beta Features are provided for evaluation, may be modified or discontinued at any time, and may have reduced support and availability. You use Beta Features at your own risk.

16. Suspension and Termination

You may stop using the Services at any time and cancel your subscription in account settings. We may suspend or terminate access immediately if you materially breach this Agreement, your use risks Platform security, or we are required to do so by law.

17. Disclaimers

THE PLATFORM AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." COACHBRIDGE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE ERROR-FREE OR SECURE.

Coaching content available through the Platform is informational and educational only and is not medical, psychological, legal, or financial advice.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COACHBRIDGE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY WILL NOT EXCEED THE GREATER OF (A) USD $100 OR (B) AMOUNTS PAID TO US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.

19. Indemnification

You agree to defend, indemnify, and hold harmless CoachBridge and our affiliates from claims, damages, and expenses (including attorneys' fees) arising from:

• Your use of the Services.
• Your User Content.
• Your violation of this Agreement or applicable law.
• Your coach-client interactions conducted through or facilitated by the Platform.
• Your directory listings, including inaccurate or misleading information.
• Any misrepresentation of your credentials or services.

20. Governing Law; Dispute Resolution

These Terms are governed by the laws of the State of California. Except for disputes submitted to binding arbitration administered by the AAA, state or federal courts in Santa Clara County, California will have exclusive jurisdiction. Class actions and class arbitrations are not permitted.

21. Export & Sanctions

You must comply with all applicable export control and economic sanctions laws and may not use the Services if located in a restricted jurisdiction.

22. Privacy Policy

Your use of the Services is subject to our Privacy Policy, which explains how we collect, use, and protect personal information. The Privacy Policy is incorporated into these Terms by reference.

23. Electronic Communications; Notices

By using the Services, you consent to receive electronic communications from us. You agree that all notices we provide electronically satisfy any legal requirement that communications be in writing.

24. Miscellaneous

• Severability. If any provision is unenforceable, the remainder remains in effect.
• Waiver. Our failure to enforce a right is not a waiver of that right.
• Assignment. You may not assign this Agreement without our consent. We may assign it without restriction.
• Entire Agreement. These Terms and our Privacy Policy are the entire agreement between you and CoachBridge regarding the Services.
• Force Majeure. We are not liable for delays or failures due to events beyond our reasonable control.
